Welcome to VODACIS. These Terms of Service ("Terms") govern your access to and use of VODACIS products, services, and software ("Services") provided by Vodacis LLC ("Company," "we," "us," or "our").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

1. Services Description

VODACIS provides on-premise communication and AI-powered meeting intelligence solutions, including:

• VODACIS Edge Appliance - pre-configured hardware for secure communication
• VODACIS Software License - software deployment on customer-provided hardware
• Professional Services - installation, integration, and training services

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent. By using our Services, you represent that you meet these requirements.

3. Account Registration

Some features of our Services may require you to create an account. You agree to:

• Provide accurate and complete information during registration
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

4. Licensing and Ownership

Software License: Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable license to use the VODACIS software solely for your internal business purposes.

Ownership: We retain all right, title, and interest in and to the Services, including all intellectual property rights. These Terms do not grant you any rights to our trademarks, logos, or other brand features.

Your Data: You retain all rights to your data. We do not claim ownership of any content you process through the Services. Since VODACIS operates on-premise, your data remains on your infrastructure at all times.

5. Acceptable Use

You agree not to:

• Use the Services for any illegal purpose or in violation of any laws
• Reverse engineer, decompile, or disassemble the software
• Remove or alter any proprietary notices or labels
• Share your license with unauthorized third parties
• Use the Services to infringe on the rights of others
• Attempt to gain unauthorized access to any systems or networks

6. Payment Terms

Fees: You agree to pay all fees associated with your chosen product or service tier. Fees are specified in your order agreement or quote.

Subscriptions: Annual subscriptions automatically renew unless canceled at least 30 days before the renewal date. You will be notified of any price changes before renewal.

Refunds: Hardware purchases may be returned within 30 days if unused and in original packaging. Software licenses and subscription fees are non-refundable except as required by law.

7. Support and Updates

Active subscription customers receive:

• Software updates and security patches
• AI model updates for improved accuracy
• Technical support via email and phone during business hours
• Access to documentation and knowledge base

8. Warranty Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure. You acknowledge that AI transcription and analysis may not be 100% accurate.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VODACIS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Vodacis LLC and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorney's fees) arising from your use of the Services or violation of these Terms.

11. Term and Termination

These Terms remain in effect until terminated. We may suspend or terminate your access to the Services if you violate these Terms or fail to pay applicable fees.

Upon termination, your license to use the software ends immediately. Provisions that by their nature should survive termination will survive, including ownership, warranty disclaimers, and limitations of liability.

12. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Texas.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after such changes constitutes acceptance of the updated Terms.
